Under the China Company Law, the minimum registered capital requirement for setting up a company is RMB 30,000 (US$3,750). However, the minimum paid up share capital for a Foreign Invested Enterprise (FIE) ranges from US$13,000 to US$140,000, depending on industry sector and province chosen.

To set up a China Representative Office (CRO) does not subject to any capital requirement. However, CRO are allowed to conduct only ¡°indirect operational activities¡± such as liaison for business purposes, introduction of products, market research and technology exchange.

Capital can be paid in installment within two years, as opposed to in a lump sum. Cash contribution to a company must account for at least 30% of capital, and can also include in-kind contributions, industrial property and land use rights.

Following China business setup, every company is required to prepare and submit annual accounts.
